+DIRECTO įsipareigoja, vadovaujantis Sutarties sąlygomis, suteikti teisę Klientui naudotis Sistema, o Klientas – turi teisę naudotis Sistema ir įsipareigoja už suteiktą teisę naudotis Sistema mokėti Licencijos mokestį DIRECTO. Ši Sutartis yra licencinė – t. y. jos pagrindu Klientui tik suteikiama teisė Sutarties galiojimo metu ir Kliento įsigyta apimti naudotis Sistema.

+DIRECTO undertakes, subject to the terms and conditions of the Agreement, to provide the Client with the right to use the System, and the Client shall have the right to use the System and shall pay the License fee to DIRECTO for the right to use the System. This Agreement is a license agreement, i.e. it only grants the Client the right to use the System during the validity of the Agreement and for the scope purchased by the Client.

+DIRECTO will not provide any computer equipment, networking or internet connectivity to the Client and the Client understands that it will be the Client's responsibility to provide, at its own cost and expense, all necessary computer, hardware, software and connectivity in order to properly use the System.

+Šia Sutartimi Klientui suteikiama teisė naudotis DIRECTO sukurtu Sistemos programiniu kodu, kuris yra įdiegtas DIRECTO pasirinktame serveryje ir kuris Klientui pasiekiamas per Paskyrą.

+This Agreement grants the Client the right to use the System software code developed by DIRECTO, which is installed on a server of DIRECTO's choice and accessible to the Client through the User Account.

+|
+.2.
+|
+Klientas Sistema naudojasi įsigytame Licencijos plane numatyta apimtimi. Naudojimasis Sistema taip pat apima serverio palaikymą ir priežiūrą, 24/7 Vartotojų prisijungimą prie Sistemos naudojant HTTPS protokolą, duomenų kopijų darymą ir saugojimą, DIRECTO pagalbos paslaugas.

+The Client shall use the System to the extent as it is set out in the Licence plan purchased. The use of the System also includes server support and maintenance, 24/7 User access to the System using the HTTPS protocol, data copying and storage, DIRECTO support services.

+|
+Sistema pasiekiama ir ja galima naudotis tik per Paskyrą. Prie Paskyros prisijungiama suvedus teisingus Prisijungimo duomenis.
+|
+The System is accessible and can be used only through the User Account. The User Account is accessed by entering the correct Login data.
+|-
+|
+.4.
+|
+Pirmąjį Kliento Vartotoją Paskyroje sukuria DIRECTO. Paskesnius Vartotojus Kliento vardu gali sukurti Kliento įgalioti Vartotojai.
+|
+The first User of the Client in the User Account is created by DIRECTO. Subsequent Users may be created by the Client’s authorized Users on behalf of the Client.

+|
+.5.
+|
+Tai, kiek Vartotojų vienu metu gali naudotis Sistema, nustato Kliento įsigytas Konkurencinių vartotojų skaičius.
+|
+The number of Users that can use the System at any one time is determined by the number of Concurrent Users purchased by the Client.

+|
+.6.
+|
+Prisijungimo duomenys:

+.6.1.
+|
+Prisijungimo duomenis privalo susikurti kiekvienas Vartotojas individualiai. DIRECTO nesuteiks jokių Prisijungimo duomenų, išskyrus atvejus: i) 3.4 p. numatytą atvejį – pirmojo Vartotojo Prisijungimo duomenis; ii) jei Vartotojas prarastų savo Prisijungimo duomenis, DIRECTO suteiks laikinus Prisijungimo duomenis, kuriuos Vartotojas privalo pakeisti nedelsiant po to, kai sėkmingai prisijungiama prie Paskyros.

+Login data must be created by each User individually. DIRECTO will not provide any Login details except for: i) in the case provided for in section 3.4, the Login details of the first User; ii) if the User loses his/her Login data, DIRECTO will provide temporary Login data, which the User is obliged to change immediately after successful login to the User Account.

+.6.2.
+|
+Jungdamiesi prie Paskyros, Vartotojai privalo naudoti savo Prisijungimo duomenis. Prisijungimo duomenys yra konfidencialūs, draudžiama jais naudotis keliems asmenims. DIRECTO neprisiima jokios atsakomybės už nuostolius ar žalą, atsiradusią dėl to, kad Prisijungimo duomenys buvo prarasti ar netinkamai naudojami.

+When accessing the User Account, Users are required to use their Login data. Login data shall be confidential and may not be used by several persons. DIRECTO assumes no liability for any loss or damage resulting from the loss or misuse of the Login data.

+|
+.7.
+|
+Sistemą galima naudoti tik Kliento vykdomo verslo tikslais ir tik tais teisėtais tikslais, kurių patenkinimui ji buvo sukurta. Įskaitant, bet neapsiribojant, draudžiama: i) Sistemą naudoti bet kokiu neteisėtu tikslu; ii) naudojant Sistemą pažeisti kitų asmenų privatumą, siųsti jiems reklamą, brukalus (angl. Spam), kitą nepageidautiną informaciją; iii) naudojant Sistemą sukelti pavojų elektroninių ryšių tinklo veikimui, saugumui, vientisumui (pvz., naudoti programinės įrangos virusus ar kitus kompiuterinius kodus, failus ar kenkėjiškas programas); iv) pažeisti DIRECTO turtines ir neturtines teises, įskaitant – teises į Intelektinę nuosavybę; v) naudoti Sistemą, turint tikslą stebėti jos prieinamumą ar funkcionalumą, ar kitais konkuravimo su DIRECTO tikslais.

+The System can only be used for the purposes of the Client’s business and only for the legitimate purposes for which it was created. Including, but not limited to, the following shall be prohibited: i) use of the System for any unauthorized purpose; ii) using the System to violate the privacy of others, send them advertisements, spam and other undesirable information; iii) endanger the operation, security, integrity of the electronic communications network (e.g. use of software viruses or other computer codes, files or malware) when using the System; iv) violation of DIRECTO’s material and non-material rights, including intellectual property rights; v) use the System for the purpose of monitoring its availability or functionality, or for other purposes of competition with DIRECTO.

+**APRIBOJIMAI**

+**LIMITATIONS**

+Visa Intelektinė nuosavybė priklauso DIRECTO ir Sutartimi ji nėra perleidžiama Klientui. Neatsižvelgiant į sumokėtą Licencijos mokestį, Klientas neįgyja jokių teisių į Sistemą, Sistemos programinį kodą, kitą Intelektinę nuosavybę ar bet kokias jų sudedamąsias dalis.

+All Intellectual property is owned by DIRECTO and is not transferred to the Client under the Agreement. Regardless of the License fee paid, the Client shall not acquire any rights to the System, System software code, other Intellectual property or any of their components.

+|
+.2.
+|
+Klientui visais atvejais draudžiama:
+|
+In all cases, the Client is prohibited from:

+|
+.2.1.
+|
+Kopijuoti, keisti, parduoti, ar bet kaip kitaip atskleisti Sistemos programinį kodą ar kitą Intelektinę nuosavybę;
+|
+Copying, modifying, selling, or otherwise disclosing System software code or other Intellectual property;
+|-
+|
+.2.2.
+|
+Prieiti prie Sistemos modulių struktūros, įskaitant, bet ne apsiribojant, pirminiais HTML, ASP, JavaScript, SQL ir VBScript tekstais;
+|
+Accessing System module structure, including but not limited to, primary HTML, ASP, JavaScript, SQL and VBScript texts;
+|-
+|
+.2.3.
+|
+Suteikti galimybę trečioms šalims prieiti prie Sistemos programinio kodo;
+|
+Providing third parties with access to the System’s software code;
+|-
+|
+.2.4.
+|
+Naudoti Sistemą pažeidžiant Sutarties 3.7 p. nuostatas;
+|
+Using the System in breach of the provisions of clause 3.7 of the Agreement;
+|-
+|
+.2.5.
+|
+Suteikti prieigą prie Sistemos (pvz., //„vartotojo“// teises ar kitokią prieigą ne Kliento darbuotojams) ar, neatsižvelgiant į kaltės formą, sudaryti sąlygas, kad tokią prieigą gautų bet kokie tretieji asmenys, kurie nėra Vartotojai (1.15 p.).

+Granting access to the System (e.g., //“user”// rights or other access to non-Client employees) or, regardless of the form of fault, create conditions to get such access for any third party who is not a User (p. 1.15).
+|-
+|
+.3.
+|
+Klientas privalo užtikrinti ir yra atsakingas už tai (įskaitant pareigą atlyginti DIRECTO žalą, jei tokia būtų padaryta), kad Vartotojai ir kiti Kliento darbuotojai laikytųsi Sutarties nuostatų, įskaitant, bet neapsiribojant, ribojimų nustatytų šiame straipsnyje.

+The Client must ensure that the Users and other Client’s employees comply with the provisions of the Agreement, including, but not limited to, the limitations set out in this clause and is liable for this (including the obligation to pay DIRECTO damages, if any).

+**ŠALIŲ PATVIRTINIMAI**

+**CONFIRMATIONS OF THE PARTIES**

+.1.
+|
+Klientui yra išaiškinta, jam suprantama ir jis aiškiai sutinka su tuo, kad:

+|
+Sistemą Klientas naudoja savo rizika. Sistema – tai programinės įrangos pagrindu veikiantis verslo įrankis. Klientas yra visiškai atsakingas už visus ir bet kokius duomenis, kurie įkeliami, įvedami, apdorojami Sistemos priemonėmis. Klientas taip pat yra visiškai atsakingas už visus ir bet kokius rezultatus, kurie gaunami Sistemos priemonėmis tokių Kliento duomenų pagrindu.

+The Client uses the System at its own risk. The System is a software-based business tool. The Client is fully responsible for all and any data uploaded, input, processed by the System. The Client is also fully responsible for any and all results that are obtained by the System on the basis of such Client data.
+|-
+|
+.1.2.
+|
+Sistema Klientui prieinama //„tokia, kokia ji yra“// ir //„tokia, kokia ji prieinama“// (angl. //as is and as available//). Tai, įskaitant, bet neapsiribojant, reiškia, kad: i) Klientui suteikiama teisė naudotis Sistema tokia apimtimi, kokia numatyta Kliento įsigytame Licencijos plane; ii) Sistema turi tokius modulius ir tokius modulių funkcionalumus (įskaitant, funkcijas, algoritmus, galimus parametrus ir nustatymus ir pan.), kuriuos DIRECTO yra suprogramavęs tuo metu, kai Klientas naudoja Sistemą (pavyzdinis Sistemos modulių sąrašas pateiktas Directo interneto svetainėje: [[https://directo.lt/moduliai]]; iii) nors Sistema suprogramuota pagal geriausias praktikas, vis dėlto Sistema nėra specifiškai pritaikyta Kliento vykdomam verslui ar individualiems verslo poreikiams, pvz., gali neturėti specifinių funkcijų, kurios reikalingos Kliento verslui ir pan. Bet koks Sistemos pritaikymas specifiniams Kliento verslo poreikiams, įskaitant, bet neapsiribojant, funkcijų, kurios nėra suprogramuotos esamuose Sistemos moduliuose, gali būti atliekamas teikiant Papildomas paslaugas (Specialiųjų sąlygų 4 dalis) pagal atskirą Kliento užsakymą, kuris būtų vykdomas pagal Šalių suderintas sąlygas; iv) Sistemos sutrikimu nelaikoma situacija, kai Sistema neturi Kliento vykdomam verslui ar individualiems verslo poreikiams specifiškai pritaikytų funkcionalumų.

+The System is available to the Client //as is// and //as available//. This includes, but is not limited to: i) the Client is granted the right to use the System to the extent provided for in the License plan purchased by the Client; ii) the System has the following modules and module functionality (including functions, algorithms, possible parameters and settings, etc.) that DIRECTO has programmed at the time the Client uses the System (an example list of System modules is available on the DIRECTO website: [[https://directo.lt/moduliai]]; iii) although the System is programmed according to best practices, the System is not specifically tailored to the Client’s business or individual business needs, e.g. may not have specific functions required for the Client’s business, etc. Any adaptation of the System to the Client’s specific business needs, including but not limited to functions not programmed in existing System modules, may be performed by providing Additional services (Part 4 of the Special Terms) according to a separate order of the Client, which would be performed in accordance with the terms agreed by the Parties; iv) System failure is not considered to be a situation where the System does not have functionality specific to the Client’s business or individual business needs.

+.1.3.
+|
+DIRECTO nesuteikia jokių garantijų, kad: i) Sistema yra specifiškai pritaikyta Kliento vykdomam verslui ar individualiems verslo poreikiams ir dėl to Sistema visais įmanomais aspektais atitiks visus Kliento galimus lūkesčius; ii) prieiga prie Sistemos bus nepertraukiama, Sistema visą laiką veiks išimtinai be klaidų ir, kad visas Sistemoje pasitaikančias klaidas įmanoma ištaisyti ir jos bus ištaisytos; iii) //Naudotojo žinyne//, yra pateikti atsakymai tik į dažniausiai kylančius Sistemos naudojimo klausimus, todėl DIRECTO negarantuoja, kad //Naudotojo žinyne// yra pateikti visi atsakymai į klausimus, kurie gali Klientui / Vartotojui kilti naudojantis Sistema; taip pat DIRECTO negarantuoja, kad //Naudotojo žinyne// visa pateikta informacija yra aktuali ir jos nereikia atnaujinti; iv) rezultatai, gauti naudojantis Sistema, visais įmanomais aspektais bus tikslūs ir patikimi; v) Sistema veikia ir yra suderinama su visa ir bet kokia technine / kompiuterine ir / ar programine įranga.

+DIRECTO makes no warranty that: i) the System is specifically tailored to the Client's business or individual business needs and, as a result, the System will meet all of the Client's expectations in every possible respect; ii) access to the System will be uninterrupted, the System will operate exclusively without errors at all times and that all errors in the System can be corrected and will be corrected; iii) in the User manual, there are answers only to the most common questions of use of the System, therefore DIRECTO does not guarantee that the User manual contains all the answers to questions that may arise for the Client/User while using the System; similarly, DIRECTO does not guarantee that all information provided in the User manual is relevant and does not need to be updated; iv) the results obtained through the System will be accurate and reliable in all possible respects; v) the System works and is compatible with all and any hardware/computer and/or software.

+.1.4.
+|
+Visus ir bet kokius duomenis Sistemoje Klientas naudos tik savo rizika. Klientas bus visa apimtimi atsakingas už visus ir bet kokius nuostolius / žalą, kuriuos tokie duomenys padarys Kliento kompiuterinėms sistemoms ar duomenims.
+|
+All and any data in the System shall be used by the Client at the Client's sole risk. The Client will be fully responsible for any and all loss/damage that such data causes to the Client's computer systems or data.
+|-
+|
+.1.5.
+|
+DIRECTO turi teisę nuolat atnaujinti bei tobulinti Sistemą. DIRECTO gali savo iniciatyva įdiegti ir suteikti galimybę Klientui naudotis Sistemos papildymais, tokių papildymų testavimo ir išbandymo tikslais. DIRECTO pasilieka teisę bet kuriuo metu iš dalies ar visa apimtimi pašalinti ar sustabdyti tokius papildymus iš Sistemos, neatsižvelgiant į tai, ar Klientas apie tai iš anksto įspėjamas ar ne. Sprendimą, ar papildymas pasiteisino, ar tokį papildymą verta įdiegti kaip nuolatinę Sistemos mokamą / nemokamą funkcija, savo nuožiūra priims tik DIRECTO. DIRECTO pasilieka teisę savo nuožiūra bet kuriuo metu keisti / modifikuoti Sistemą, neatsižvelgiant į tai, ar Klientas apie tai iš anksto įspėjamas, ar ne. Tokie Sistemos pakeitimai gali apimti, įskaitant, bet neapsiribojant: prekės ženklo pakeitimus (angl. //rebranding//).

+DIRECTO shall have the right to continuously update and improve the System. DIRECTO may, on its own initiative, install and make available to the Client add-ons to the System for the purpose of testing and trialling such add-ons. DIRECTO reserves the right to remove or suspend such additions from the System at any time, in part or in full, whether or not the Client is given prior notice. Only DIRECTO will decide whether the add-on has proven to be worth installing as a permanent system paid/free functionality. DIRECTO reserves the right, at its sole discretion, to change/modify the System at any time, whether or not the Client is notified in advance. Such System changes may include but are not limited to: rebranding.
